CleverAlpha Asset Management, LLC ("CleverAlpha") is registered as an investment adviser with the U.S. Securities and Exchange Commission (SEC). Our firm CRD number is 301620. Registration with the SEC does not imply a certain level of skill or training, nor does it imply that the SEC has endorsed or approved of CleverAlpha's qualifications or services.

CleverAlpha uses diversified ETF portfolios designed to manage risk over the long term, but diversification does not guarantee a profit or protect against loss in declining markets. Investors should carefully consider their investment objectives, risk tolerance, time horizon, and financial situation before investing.

Past performance is not indicative of future results. Any references to historical returns, hypothetical or simulated performance, or projected performance are not guarantees of future results. Actual client results may differ materially from any referenced performance due to differences in timing, account size, fees, and other factors.

Fee Disclosure

CleverAlpha Asset Management charges an annual advisory fee of 0.25% (25 basis points) of assets under management, billed quarterly in arrears. The minimum monthly fee is $1.00.

Our fee is separate from any fees charged by underlying ETFs (expense ratios), third-party custodians, or other service providers. Clients should review the full fee schedule in our Form ADV Part 2A and their Investment Advisory Agreement before investing.

We do not charge trading commissions, account maintenance fees, or withdrawal fees. We do not receive any form of compensation from the ETF providers whose funds we use in client portfolios.

FINRA & SIPC — CleverAlpha Securities

Brokerage and custody services for CleverAlpha clients are provided through CleverAlpha Securities, a DBA of Velocity Capital LLC — a registered broker-dealer and member of the Financial Industry Regulatory Authority (FINRA) and the Securities Investor Protection Corporation (SIPC).

SIPC protects the securities and cash in your brokerage account up to $500,000 (including up to $250,000 for cash). SIPC does not protect against investment losses. An explanatory brochure is available upon request or at sipc.org.

Conflicts of Interest

CleverAlpha is committed to transparency regarding any actual or potential conflicts of interest. Key conflicts we disclose include:

  • Affiliated entities: CleverAlpha Asset Management, CleverAlpha Securities, and CleverAlpha Technologies are affiliated entities under common ownership. Clients should be aware that advisory and brokerage services are provided by affiliated firms.
  • Fee structure: Our fee is based on assets under management. We have an incentive to encourage clients to maintain or increase their invested assets. However, as a fiduciary, we are required to act in your best interest regardless of this incentive.
  • ETF selection: CleverAlpha does not receive any compensation from ETF providers for recommending their funds. Our ETF selection is based solely on investment merit, cost, and suitability.

Third-Party Custodians

Client assets are held in custody by third-party broker-dealers and custodians. CleverAlpha does not take custody of client assets. Clients receive account statements directly from their custodian and should carefully review these statements for accuracy.

Form ADV

Our Form ADV Part 2A (Firm Brochure) and Part 2B (Brochure Supplement) contain important information about our business practices, fees, personnel, and conflicts of interest. These documents are provided to all new clients before or at the time of entering into an advisory agreement and are available upon request at any time.
